Appointment opportunities to serve on the Vestcor Inc. Board of Directors may arise due to the expiration of an existing Director’s appointment term, an unplanned departure, or with respect to succession planning. Qualified candidates with demonstrable abilities and relevant prior pension administration, investment management, or corporate leadership experience are invited to send their expression of interest to serve as a Vestcor Inc. Director to the Corporate Secretary (Corporate.Secretary@vestcor.org). Any submitted information will be kept on file and in a confidential manner for potential consideration associated with any future Director search activities.
Each director is nominated by the Vestcor Inc. Board of Directors for appointment at the discretion of our owners, the Vestcor Corp. Board of Directors and hold office for a term of up to three years and may be reappointed. To ensure continuity, the terms are staggered and additionally, a director remains in office until the director resigns, is reappointed or replaced.

The Vestcor Inc. Guidelines for the Nomination of New Directors provide a framework for Vestcor Inc.’s role in the nomination of new Directors. The framework also includes consultation guidelines with our shareholder Vestcor Corp., to ensure they are adequately informed about the approach taken and provided with the opportunity to provide any input or feedback in line with shareholder Director nomination involvement best practices. The goal of Vestcor Inc.’s board nomination process is to promote the appointment of highly qualified directors with a diverse range of knowledge, experience and expertise related to aspects of the board’s key governance responsibilities.
